If you are using the Service on behalf of an organization, you represent that you have the authority to bind that organization to these Terms.

2. Description of Service

Celestice provides AI-powered wealth and investment management tools that allow users to analyze portfolios, optimize allocations, and receive automated insights across asset classes.

IMPORTANT - NOT INVESTMENT ADVICE: Celestice, Celestice Inc and their representatives do not provide financial, investment, insurance, tax or legal advice. The platform merely provides software products and tools that enable financial tracking, workflow processes, analysis and information for decision support. You should not construe any information or material from its products and tools as legal, tax, investment, financial, or other advice. Nothing contained in the products and tools constitutes a solicitation, recommendation, endorsement, or offer by Celestice to buy or sell any securities or other financial instruments in any jurisdiction. You should consult your own personal finance, tax and/or legal advisor for advice concerning your particular situation.

The AI-generated insights represent statistical analysis based on pattern recognition and should be treated as one of many inputs in your investment process. Celestice Inc is not a member of, affiliated with, registered with, or regulated by FDIC, SEC, FINRA, SIPC, NCUA, EBSA, ERISA, PBGC or any financial regulatory body. Celestice is a software company. It is not a bank, broker-dealer, brokerage, investment advisor, insurer, neo-bank or similar entity.

No insurance coverage (such as FDIC) or guarantees (expressed or implied) are applicable in any financial outcomes by the use of Celestice products. Celestice is not responsible for and does not guarantee the performance or suitability of its products or services for any purpose.

5. No Transactions

Celestice does not transact, accept, deposit, withdraw, credit, debit or process cash, currency, securities, bonds, ETFs, mutual funds, money market funds, digital or physical assets, credit, loans, mortgage, cryptocurrency or any monetary instrument of any kind.

There are risks associated with investing in securities. Investing in stocks, bonds, exchange traded funds, mutual funds, and money market funds involve risk of loss. Celestice is not responsible or liable for any use of its products, services or information provided. You alone assume the sole responsibility of evaluating the merits and risks associated with the use of such product, service or information.

6. Account Registration

To use Celestice, you must:

• Be at least 18 years old or have parental/guardian consent
• Provide accurate and complete registration information
• Maintain the security of your account credentials
• Notify us immediately of any unauthorised access

You are responsible for all activities that occur under your account.

7. Acceptable Use

You agree not to:

• Use the service for any unlawful purpose
• Attempt to gain unauthorised access to our systems
• Interfere with the proper functioning of the service
• Reverse engineer, decompile, or disassemble any part of the Service
• Use the service to develop competing products
• Resell or redistribute access to the service without permission
• Use automated tools to scrape or extract data beyond authorized API access
• Transmit malware, viruses, or other harmful code

8. Content and Intellectual Property

Your Data: You retain ownership of any data you provide or connect to Celestice. By connecting data sources, you grant us a limited licence to process it for the purpose of providing the Service.

AI Training: We may use anonymised data from your sessions to improve our AI models, as described in our Privacy Policy. You can opt out in settings.

Our Content: Celestice, its logo, design, and all associated intellectual property are owned by Celestice Inc and protected by applicable laws.

9. Subscription and Payments

Free Tier: Limited features are available at no cost.

Paid Plans: Premium features require a paid subscription. Payments are processed securely through our payment provider. Subscriptions renew automatically unless cancelled before the renewal date.

Refunds: We offer refunds in accordance with applicable consumer protection laws. Contact support@celestice.com for refund requests.

10. Cancellation

You may cancel your subscription at any time through your account settings. Cancellation takes effect at the end of your current billing period. You will retain access to paid features until then. We may also terminate or suspend your account for violation of these terms.

11. Disclaimers and No Warranty

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTY OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO THE WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE AND NONINFRINGEMENT.

IN NO EVENT SHALL CELESTICE AI INC OR ITS EXECUTIVES, EMPLOYEES OR REPRESENTATIVES BE LIABLE FOR ANY CLAIM, DAMAGES OR OTHER LIABILITY, WHETHER IN AN ACTION OF CONTRACT, TORT OR OTHERWISE, ARISING FROM, OUT OF OR IN CONNECTION WITH THE SOFTWARE OR THE USE OR OTHER DEALINGS IN THE SOFTWARE.

WE MAKE NO GUARANTEES WHATSOEVER REGARDING:

• Any improvement in your investment performance or portfolio returns
• Success in any investment decision or financial outcome
• The accuracy, reliability, or completeness of any AI-generated analytics or scores
• Any specific outcome, result, or achievement in your financial life
• Uninterrupted, secure, or error-free service availability
• That the service will meet your expectations or requirements

ALL OUTPUTS ARE ALGORITHMIC ONLY: Any analytics, ratings, assessments, or suggestions generated by Celestice are algorithmic predictions based on statistical patterns. They do not constitute professional financial advice, expert evaluation, or any form of guarantee. You acknowledge that AI systems can produce errors, inconsistencies, and inaccurate assessments.

Celestice is an analytics and preparation tool only. It is NOT a substitute for professional financial advice, registered investment advisory, or fiduciary counsel. By using this service, you accept full responsibility for how you apply any insights received and acknowledge that your outcomes depend on factors entirely outside our control.

12. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, CELESTICE AI INC, ITS DIRECTORS, OFFICERS, EMPLOYEES, AGENTS, AND AFFILIATES SHALL NOT BE LIABLE FOR:

• Any indirect, incidental, special, consequential, or punitive damages
• Loss of profits, revenue, business opportunities, or goodwill
• Loss of data or cost of procurement of substitute services
• Any damages arising from your reliance on AI-generated analytics or predictions
• Any investment losses, unsuccessful trades, or financial outcomes
• Any financial decisions made based on information from the service

THIS LIMITATION APPLIES WHETHER THE ALLEGED LIABILITY IS BASED ON CONTRACT, TORT, NEGLIGENCE, STRICT LIABILITY, OR ANY OTHER BASIS, EVEN IF WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGE.

IN NO EVENT SHALL OUR TOTAL AGGREGATE LIABILITY EXCEED THE GREATER OF (A) THE AMOUNT YOU PAID US IN THE 12 MONTHS PRECEDING THE CLAIM, OR (B) ONE HUNDRED US DOLLARS ($100).

13. Indemnification

You agree to indemnify and hold harmless Celestice Inc, its officers, directors, employees, and agents from any claims, damages, or expenses arising from your use of the service or violation of these terms.

14. Assumption of Risk

By using Celestice, you expressly acknowledge and agree that: (a) you use the service entirely at your own risk; (b) you are solely responsible for any decisions or actions you take based on AI-generated analytics; (c) we have no control over market outcomes, investment performance, or any third-party evaluations of your portfolio; and (d) any scores or assessments provided are statistical estimates that may not reflect your actual investment performance or predict real-world outcomes.

15. Changes to Terms

We reserve the right to modify these terms at any time. We will notify you of material changes via email or through the service. Continued use after changes constitutes acceptance of the modified terms.

16. Governing Law

These terms are governed by the laws of the State of Delaware, United States. Any disputes shall be resolved through binding arbitration in accordance with the rules of the American Arbitration Association, except that either party may seek injunctive relief in any court of competent jurisdiction.
